This Reseller Agreement (the “Agreement”) is entered into by and between Wawa Llama Ltd, a company incorporated under the laws of the United Kingdom (the “Licensor”), and the individual or entity purchasing the reseller package (the “Reseller”). By purchasing the reseller package, the Reseller agrees to comply with the terms and conditions set forth in this Agreement.

1. Grant of License 1.1 The Licensor grants the Reseller a non-exclusive, non-transferable license to resell the Make.com automation templates (the “Templates”) directly to end consumers. 1.2 The Reseller is permitted to determine their own pricing and may sell the Templates individually or as part of a bundle.

2. Restrictions 2.1 The Reseller is strictly prohibited from reselling the Templates to third parties for the purpose of further resale or redistribution. 2.2 The Reseller may not distribute the Templates free of charge or claim ownership of the Templates or accompanying instructional materials. 2.3 The Reseller is prohibited from selling the Templates under the Licensor’s branding or using any trademarks, logos, or branding elements associated with the Licensor without prior written consent. The Reseller must sell the Templates under their own branding.

3. Modifications 3.1 The Reseller is permitted to modify the Templates to suit their requirements but must provide their own instructional materials for any modified versions. 3.2 The Reseller is not permitted to alter, modify, or redistribute the Licensor’s instructional videos.

4. Attribution No credit or attribution to the Licensor is required for the resale of the Templates.

5. Updates and Support 5.1 The Licensor will endeavor to update the Templates to resolve errors where feasible. 5.2 New Templates will be added at least once every 60 days; however, the Licensor reserves the right to discontinue the addition of new Templates or the provision of updates at any time. 5.3 The Licensor will not provide support to the Reseller’s customers. Furthermore, the Licensor is not responsible for assisting the Reseller in addressing questions or issues raised by their customers.

6. Limitation of Liability The Licensor shall not be held liable for any damages, losses, or legal disputes arising from the use, resale, or distribution of the Templates. The Reseller assumes full responsibility for their resale activities and any consequences thereof.

7. Termination The Licensor reserves the right to terminate this Agreement immediately in the event of a breach of the terms by the Reseller or misuse of the Templates.

8. Subscription Terms 8.1 The Reseller is authorized to sell the Templates only while their subscription to the reseller package remains active. 8.2 Upon termination or expiration of the subscription, the Reseller must immediately cease all sales and distribution of the Templates.

9. Governing Law This Agreement shall be governed by, and construed in accordance with, the laws of the United Kingdom. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

By purchasing the reseller package, the Reseller acknowledges and agrees to the terms and conditions outlined in this Agreement.
